T-Mobile secures UScellular acquisition, marking the completion of the merger deal and rollout of Magenta services nationwide
In a significant move, T-Mobile US, Inc. (NASDAQ: TMUS) has completed the acquisition of UScellular's wireless operations, marking a milestone in the company's mission to become America's supercharged Un-carrier. The deal, worth approximately $4.3 billion, will bring more than four million UScellular customers, including businesses, into T-Mobile's network, commonly known as "Team Magenta."
The acquisition, which includes $2.6 billion in cash and $1.7 billion in debt, was announced on July 22, 2025. It involves the purchase of substantially all of the wireless operations assets of Farmers Cellular Telephone Company, Iowa RSA No. 9 Limited Partnership, and Iowa RSA No. 12 Limited Partnership (collectively, the "Iowa Entities"). The Iowa Transactions, expected to close concurrently with the UScellular Acquisition on August 1, 2025, will see the Iowa Entities retain ownership of their towers and spectrum.
This strategic move will significantly enhance T-Mobile's rural footprint and spectrum holdings, promising customers better network quality and speeds over time. UScellular's approximately 4 million customers, particularly those in rural and regional markets where UScellular had a significant presence and where T-Mobile previously had less reach, will benefit from enhanced network coverage and improved 5G access.
T-Mobile's access to UScellular’s mid-band and low-band spectrum supports its 5G strategy by balancing high-speed connectivity and wide coverage. Customers can expect performance improvements from day one, with the integration of UScellular's network expected to be seamless.
Operationally, T-Mobile now controls UScellular's retail stores and a portion of its spectrum, while UScellular itself transitions to a new identity as Array Digital Infrastructure, focusing on owning and managing the wireless towers and remaining spectrum outside T-Mobile’s direct control.
With this acquisition, UScellular customers will gain access to T-Mobile’s premium unlimited plans, offering added value such as streaming service benefits (Netflix, AppleTV+, MLB.TV) and free international roaming in over 215 destinations. They can also choose to upgrade to T-Mobile's new Experience plans, which offer top-tier benefits like T-Satellite or plans tailored for 55+ seniors, first responders, and teachers.
Moreover, hundreds of thousands of households in UScellular's footprint that previously lacked high-speed connectivity will soon be eligible for T-Mobile's in-home broadband service. This means that customers will have more choices for reliable, high-speed internet, including home broadband and fixed wireless products.
